LEGAL COUNSEL

The Legal Counsel will be responsible for providing advice on all aspects of the law as it relates to the Company and its operation and for assessing the legal implications of the Company’s actions. The Legal Counsel will plan and develop strategies aimed at protecting the Company’s interest and ensure that the Company’s obligations and otherwise are observed. The Legal Counsel shall also ensure that the Company’s policies are up to date and that the risks related to policy breaches are minimized. Provide legal support to the Board and committees of the Board through the Company/Corporate Secretary

EDUCATION & SPECIALIZED TECHNIQUES
The ideal candidate should possess:

  1. Bachelor of Laws Degree or equivalent qualification.
  2. Certificate of Legal Education.
  3. Admission to the Jamaican Bar.

EXPERIENCE AND LEARNED DISCIPLINE

  1. At least six (6) years of experience in commercial law. Experience in Litigation and review of
    company policies would be an asset.
  2. Sound knowledge of:

• Company and Commercial Law
• Laws, rules and regulations governing the electricity sector.
• Insurance Law
• Land Law and Conveyancing
• Drafting, reviewing and updating policies governing the business
• International Procurement Practices
Administrative Law
Litigation and Rules of Court

  1. Understanding of the Company’s operations as it relates to:

• Generation, transmission, distribution and supply of electricity.
• Easements & Wayleaves
• Claims including Personal Injury
• Procurement
• Company Compliance and Administration

ELEMENTS OF MAJOR DUTIES

  1. Review and/or draft technical and non-technical documents in relation to the operation of the
    business.
  2. Negotiate, draft and vet contracts and other transactional documents including loans and
    securities documentation.
  3. Represent the Company in Court and Tribunals as required.
  4. Instruct external counsel in Court actions initiated by or against the Company for representation
    in Court including but not limited to reviewing pleadings, statements and submissions.
  5. Research, draft and review legal opinions on matters affecting the Company
  6. Represent the Company in matters relating to the purchase, sale and lease of lands and
    equipment on behalf of the Company and other conveyancing matters.
  7. Negotiate with customers and other persons making claims against the Company
  8. Provide legal advice (both verbal and written) on questions and issues of law as they affect the
    Company and/or its operations from time to time.
  9. Prepare any particulars of mortgages or charges at the requisite entities in Jamaica.
  10. Attend Board of Directors meetings and Committee Meetings of the Board as required.
  11. Prepare Minutes of Meetings.
  12. Make presentations to the Company and external stakeholders as required on legal matters
    affecting the Company.
  13. Supervise Legal Officers as required in the exercise of their responsibilities.
  14. Such other responsibilities as assigned from time to time.
